1. Introduction and Acceptance of Terms

Welcome to VaelixAi ("Service"), an AI-powered music generation platform operated by VaelixAi Inc., a Delaware limited liability company ("Company", "we", "us", or "our"). Our website is located at https://vaelixai.com.

By accessing or using VaelixAi, you ("User", "you", or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree with any part of these Terms, you must not use the Service.

2. Description of Service

VaelixAi provides AI-powered music generation tools, including but not limited to:

  • AI Song Generator — Generate original songs from text descriptions
  • AI Cover — Create AI-powered style variations of songs
  • Diss Track Generator — Generate diss tracks with preset styles

The Service uses third-party AI models to generate music content. Generated songs are delivered as downloadable audio files (MP3 format).

3. Eligibility

You must be at least 13 years of age to use VaelixAi. If you are between 13 and 18 years old, you must have the consent of a parent or legal guardian to use the Service. By using the Service, you represent and warrant that you meet these eligibility requirements.

4. Account Registration

To access the full features of VaelixAi, you must create an account. You agree to:

  • Provide accurate and current information during registration
  • Maintain the security of your account credentials
  • Immediately notify us at [email protected] of any unauthorized use of your account
  • Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms.

5. Credits, Pricing, and Payments

5.1 Credit System

VaelixAi operates on a credit-based system. Each song generation consumes credits from your account balance. Credits are the sole prerequisite for generating content — as long as you have remaining credits, you may use the Service.

One standard generation currently consumes 10 VaelixAi Credits. Promotional credits, sign-up credits, and check-in credits may have different expiration periods from subscription credits.

5.2 Subscription Plans

We currently offer paid subscription plans on monthly billing:

  • Creator — 500 credits per subscription month
  • Studio — 2,000 credits per subscription month

Legacy Basic, Pro, Premium, and Starter subscription records may remain recognized for account history, renewal compatibility, or support-assisted migration, but they are no longer offered for new public subscription purchases.

We may also provide limited promotional credits, including sign-up credits and check-in credits, subject to expiration and anti-abuse controls.

Prices are in US Dollars and are subject to change with prior notice.

5.3 Auto-Renewal

Subscriptions automatically renew each month on the anniversary of your purchase date. You will be charged the applicable subscription fee at the beginning of each billing cycle. You may cancel auto-renewal at any time through your account settings; cancellation takes effect at the end of the current billing period.

5.4 Credits Expiration

Subscription credits expire at the end of the applicable billing period and do not roll over to the next cycle unless explicitly stated otherwise. Promotional or bonus credits may have shorter expiration windows. Unused credits have no cash value and are non-transferable.

5.5 Failed Generations

If a song generation fails or times out due to a system error, the credit consumed for that generation will be automatically refunded to your account.

5.6 Payment Processing

All payments are processed securely through Stripe. We do not store your full credit card information on our servers. By making a purchase, you agree to Stripe's Terms of Service.

7. Intellectual Property and Generated Content

7.1 Your Input

You retain all rights to the text descriptions, prompts, and other input content you provide to the Service ("User Input"). You represent and warrant that your User Input does not infringe upon the intellectual property rights of any third party.

7.2 AI-Generated Content

Songs, audio, lyrics, and cover art generated by the Service ("Generated Content") are created using third-party AI models. Upon generation:

  • You are granted a non-exclusive, worldwide license to use, download, share, and modify the Generated Content for personal purposes, subject to these Terms.
  • Commercial use is permitted only for users on an active Creator or Studio plan at the time the content is generated, or where we explicitly grant commercial rights in writing.
  • Users on Free plans or personal-use purchases may use Generated Content for personal, non-commercial use only unless otherwise stated by us in writing.
  • You acknowledge that the AI may produce similar or identical output for different users given similar inputs. We do not guarantee the uniqueness of Generated Content.
  • We do not claim ownership of Generated Content. We may use anonymized, aggregated data about generation patterns for service improvement and analytics. We will only use your specific Generated Content for promotional purposes (e.g., showcasing examples) with your explicit prior consent.

7.3 Platform Intellectual Property

The VaelixAi platform, including its design, code, branding, and documentation, is owned by VaelixAi Inc. and protected by applicable intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the platform.

8. Acceptable Use Policy

You agree NOT to use VaelixAi to:

  • Generate content that infringes on copyrights, trademarks, or other intellectual property rights
  • Create content that promotes hate speech, violence, discrimination, or harassment
  • Generate sexually explicit or pornographic content
  • Impersonate real individuals without their consent
  • Create content for illegal purposes
  • Attempt to circumvent rate limits, manipulate the credit system, or exploit the Service
  • Use automated scripts or bots to access the Service without authorization
  • Create multiple accounts to abuse free credits or promotional offers

We reserve the right to terminate accounts and withhold service for violations of this Acceptable Use Policy without refund.

9. Disclaimers

9.1 "As Is" Service

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE SERVICE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

9.2 AI Limitations

We do not guarantee the quality, accuracy, or appropriateness of AI-Generated Content. The AI may occasionally produce unexpected, inaccurate, or unsuitable output. You are solely responsible for reviewing Generated Content before use.

9.3 Service Availability

We do not guarantee uninterrupted or error-free access to the Service. We may perform maintenance, updates, or experience downtime without prior notice.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VaelixAi Inc. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless VaelixAi Inc., its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your Generated Content or User Input

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

12.2 Dispute Resolution

Any dispute arising from these Terms or the Service shall first be attempted to be resolved through informal negotiation for a period of 30 days. If the dispute cannot be resolved informally, it shall be settled by binding arbitration in accordance with the rules of the American Arbitration Association, conducted in the State of Delaware.

12.3 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

13. Termination

We may terminate or suspend your access to the Service at any time, with or without cause, with or without notice. Upon termination:

  • Your right to use the Service ceases immediately
  • Any remaining credits in your account will be forfeited
  • Provisions of these Terms that by their nature should survive termination shall survive

14. Changes to These Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting on our website with an updated "Last Updated" date. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms. For material changes, we will make reasonable efforts to notify you via email or through the Service.
